Sharpen is an AI-powered business idea validation tool operated by Sharpen ("we," "us," or "our"). We help entrepreneurs analyze their business ideas by providing competitive research, differentiation scoring, and strategic roadmaps through artificial intelligence and live web data.

2. Eligibility

You must be at least 18 years of age to use the Service. By using Sharpen, you represent and warrant that:

You are at least 18 years old
You have the legal capacity to enter into a binding agreement
Your use of the Service complies with all applicable laws and regulations
You are not located in a country subject to U.S. government embargo or sanctions

3. Account Registration

To access certain features of the Service, you must create an account. You agree to:

Maintain and promptly update your account information
Keep your password secure and confidential
Notify us immediately of any unauthorized use of your account
Accept responsibility for all activity that occurs under your account

Use the Service to generate, validate, or promote illegal business activities
Attempt to reverse-engineer, scrape, or extract our AI models or data pipelines
Circumvent usage limits, payment requirements, or access controls
Submit false, misleading, or deceptive content to the Service
Use automated tools to make bulk requests that overload our infrastructure
Resell, sublicense, or otherwise commercialize access to the Service without our written permission
Impersonate any person, business, or entity
Interfere with or disrupt the integrity or performance of the Service

5. Paid Plans & Billing

Sharpen offers free and paid subscription tiers. By subscribing to a paid plan, you agree to the following:

Billing: Subscriptions are billed on a recurring basis (monthly or annually) through Stripe. Your subscription will automatically renew unless cancelled before the renewal date.
Payment: You authorize us to charge your payment method on a recurring basis. All charges are in USD unless otherwise stated.
Price Changes: We reserve the right to modify our pricing with at least 14 days' advance notice. Continued use of the Service after a price change constitutes acceptance of the new pricing.
Taxes: You are responsible for any applicable taxes, levies, or duties imposed by tax authorities on your subscription fees.

6. Refunds

Please refer to our Refund Policy for full details. Generally, subscription fees are non-refundable except in cases of billing errors on our end.

7. Intellectual Property

Sharpen Content: All content, features, technology, and functionality of the Service — including the Edge Score system, AI analysis framework, UI design, and branding — are owned by Sharpen and protected by applicable intellectual property laws.

Your Content: You retain ownership of any ideas, descriptions, or information you submit to the Service ("User Content"). By submitting User Content, you grant Sharpen a limited, non-exclusive, royalty-free license to process and analyze your content solely for the purpose of delivering the Service to you.

We will not sell your specific idea submissions to third parties or use them to train AI models without your explicit consent.

8. AI-Generated Content Disclaimer

Sharpen uses artificial intelligence to generate competitor analysis, differentiation insights, and strategic roadmaps. You acknowledge and agree that:

AI-generated content is for informational and inspirational purposes only
Outputs may contain inaccuracies, outdated information, or errors
Nothing in the Service constitutes legal, financial, or professional business advice
You are solely responsible for decisions made based on Sharpen's analysis
We do not guarantee the accuracy, completeness, or fitness of any AI-generated output for any particular purpose

9. Third-Party Services

Sharpen integrates with third-party services including Stripe (payments), Serper (web search), and Anthropic (AI). Your use of these integrations is subject to the respective third-party terms of service and privacy policies. We are not responsible for the practices or content of third-party services.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SHARPEN AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID TO SHARPEN IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

12. Termination

We may suspend or terminate your account at our discretion if you violate these Terms, engage in fraudulent activity, or if we discontinue the Service. You may cancel your account at any time from your account settings.

Upon termination, your right to use the Service will immediately cease. Provisions that by nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will remain in effect.

13. Governing Law & Disputes

These Terms are governed by the laws of the State of New York, United States, without regard to conflict of law principles. Any disputes arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the American Arbitration Association rules, with proceedings conducted in New York, New York, except that either party may seek injunctive or other equitable relief in a court of competent jurisdiction located in New York.

You waive your right to participate in any class action lawsuit or class-wide arbitration against Sharpen.
